1. Acceptance of Terms

By accessing and using the services provided by AirSurvey Technologies OÜ ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and AirSurvey Technologies OÜ regarding your use of our construction engineering and technical consulting services.

AirSurvey Technologies OÜ provides construction engineering and technical consulting services, including but not limited to:

• Building surveying and assessment
• Construction project planning and design
• Technical consulting and advisory services
• Engineering consultation and support
• Site management and supervision
• Quality assurance and compliance verification

All services are provided in accordance with applicable Estonian laws and international engineering standards.

4. Service Agreements

4.1 Project Scope

Each project will be governed by a specific service agreement that outlines:

• Detailed scope of work and deliverables
• Project timeline and milestones
• Pricing and payment terms
• Client responsibilities and requirements
• Technical specifications and standards

4.2 Changes to Scope

Any changes to the agreed scope of work must be documented in writing and approved by both parties. Additional charges may apply for scope changes that require extra resources or time.

5. Payment Terms

5.1 Pricing

Service fees are determined based on project complexity, scope, and duration. All prices are quoted in USD or EUR unless otherwise specified.

5.2 Payment Schedule

Payment terms will be specified in individual service agreements. Generally:

• Initial deposit may be required before project commencement
• Progress payments based on project milestones
• Final payment upon project completion and delivery
• Late payment fees may apply after 30 days

5.3 Expenses

Client is responsible for reimbursing pre-approved expenses including travel, accommodation, and specialized equipment rental required for project execution.

6. Client Responsibilities

To ensure successful project delivery, clients must:

• Provide accurate and complete project information
• Grant necessary site access and permissions
• Ensure timely availability of key personnel for consultations
• Provide relevant documents and technical specifications
• Comply with safety regulations and site requirements
• Make timely payments as per agreed terms

7. Intellectual Property

7.1 Company Property

All methodologies, processes, and proprietary knowledge used in service delivery remain the intellectual property of AirSurvey Technologies OÜ.

7.2 Client Deliverables

Upon full payment, clients receive rights to use deliverables for their intended purpose. However, underlying intellectual property and methodologies remain with the Company.

8. Confidentiality

Both parties acknowledge that confidential information may be shared during the course of the project. We commit to:

• Maintaining strict confidentiality of client information
• Using information solely for project purposes
• Implementing appropriate security measures
• Requiring similar commitments from subcontractors

9. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the total amount paid for the specific service
• We are not liable for consequential, indirect, or special damages
• Force majeure events are excluded from liability
• Clients must notify us of any issues within 30 days of service completion

Important: This limitation does not apply to liability for death or personal injury caused by negligence or fraud.

10. Professional Standards

All services are performed in accordance with:

• Applicable professional engineering standards
• Estonian and international building codes
• Industry best practices and safety requirements
• Environmental protection regulations

We maintain professional indemnity insurance as required by law.

11. Termination

11.1 Termination by Client

Clients may terminate services with 14 days written notice. Payment is required for all work completed up to the termination date.

11.2 Termination by Company

We may terminate services if:

• Client fails to make required payments
• Client breaches these Terms
• Project becomes technically unfeasible
• Safety concerns arise

12. Dispute Resolution

Any disputes arising from these Terms or our services will be resolved through:

1. Direct negotiation between the parties
2. Mediation if negotiation fails
3. Arbitration under Estonian law if mediation is unsuccessful

These Terms are governed by Estonian law, and Estonian courts have jurisdiction over any legal proceedings.

13. Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including but not limited to:

• Natural disasters and extreme weather
• Government actions or regulatory changes
• Wars, terrorism, or civil unrest
• Pandemics or health emergencies
• Infrastructure failures or cyber attacks

14. Amendments

These Terms may be updated from time to time. We will notify clients of material changes through:

• Email notification to registered clients
• Website posting with effective date
• Notice in ongoing project communications

Continued use of our services after changes indicates acceptance of updated Terms.
